Terms of Service

These Terms of Service ("Terms") govern your access and use of PrimeStack Sdn Bhd's ("PrimeStack", "we", "us") platform, website, and services. By registering for an account or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PrimeStack, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services. You must be at least 18 years old or have parental/guardian consent to use our services.

2. Description of Services

PrimeStack provides a Website-as-a-Service (WaaS) platform that enables users to create, edit, publish, and host business websites. Services include:

  • Drag-and-drop website editor
  • Industry-specific website templates
  • Website hosting with 99.9% uptime
  • Free SSL certificates for all websites
  • Integrated blog system (for Shop and Business plans)
  • Customer booking system (for Shop and Business plans)
  • Custom domains (for Shop and Business plans)
  • Customer support via email, WhatsApp, and phone
  • We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice.

3. Account Registration

To use PrimeStack, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and be responsible for all activities under your account
  • Notify us immediately of any unauthorized use or security breach
  • You may not share your login credentials or allow others to access your account. You are fully responsible for all activities that occur under your account.

4. Pricing and Payment Plans

PrimeStack offers various subscription plans:

  • Free Plan (RM0/month): 3 pages, subdomain, PrimeStack watermark
  • Starter Plan (RM39/month or RM29/month annual): 5 pages, subdomain, small PrimeStack badge
  • Shop Plan (RM89/month or RM69/month annual): 15 pages, custom domain, blog, booking
  • Business Plan (RM179/month or RM139/month annual): Unlimited pages, 2 domains, white-label
  • Payment: All payments are charged at the beginning of the billing period (monthly or annual). We accept FPX, credit/debit cards, and GrabPay.
  • Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date. You are responsible for ensuring your payment information is up to date.
  • Cancellation: You can cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds for partial months or early cancellation of annual plans.
  • Price Changes: We reserve the right to change our plan prices. We will provide at least 30 days' notice before price increases take effect for existing customers.
  • Taxes: All prices exclude applicable taxes (SST). Taxes will be added during payment if applicable.

5. Acceptable Use Policy

You agree NOT to use PrimeStack services to:

  • Post content that is illegal, harmful, threatening, abusive, obscene, defamatory, or offensive
  • Violate intellectual property rights, trademarks, or proprietary rights of others
  • Distribute viruses, malware, or malicious code
  • Send spam, unsolicited emails, or use services for phishing scams
  • Impersonate another person or entity
  • Collect personal information from other users without permission
  • Use services for illegal activities, including gambling, fraud, or sale of prohibited goods
  • Interfere with or disrupt the integrity or performance of our services
  • Attempt to gain unauthorized access to our systems, accounts, or data
  • Violation of this Policy may result in suspension or termination of your account without notice or refund.

6. User Content and Intellectual Property

You retain full ownership of all content you upload or create on your website ("User Content"). However, by using PrimeStack, you grant us a global, non-exclusive, royalty-free license to:

  • Store, host, and display your User Content to provide the service
  • Back up your User Content for disaster recovery purposes
  • Display your User Content in our marketing materials (with your permission)
  • You warrant that you own or have the necessary rights to all User Content you upload, and that your User Content does not infringe third-party rights.
  • The PrimeStack platform, including all code, designs, text, graphics, logos, and software, is owned by PrimeStack and protected by Malaysian and international copyright laws. You may not copy, modify, distribute, or sell any part of our platform without our written permission.

7. Service Levels and Uptime

We are committed to providing reliable services:

  • Uptime Guarantee: We target 99.9% uptime for all hosted websites. This excludes scheduled downtime for maintenance.
  • Scheduled Maintenance: We may perform scheduled maintenance from time to time. We will provide at least 48 hours' notice for any maintenance expected to affect services.
  • Service Credits: If uptime falls below 99.5% in a month (excluding scheduled downtime), you are eligible for prorated service credits. Credits must be claimed within 30 days.
  • Customer Support: Support response times: Free Plan (no guarantee), Starter Plan (48 hours via email), Shop Plan (24 hours via email/WhatsApp), Business Plan (4 hours, priority support).

8. Account Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms of Service or Acceptable Use Policy
  • You fail to pay fees owed
  • We suspect fraudulent or illegal activity
  • We receive a court order or government request
  • After termination, you will no longer have access to your account, and your website will be taken offline. We will retain backups of your data for 30 days after termination, after which data will be permanently deleted.
  • You can terminate your account yourself at any time from account settings. After termination, your subscription will be cancelled at the end of the current billing period, and you will not be charged again.

9. Disclaimer of Warranties

PrimeStack services are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied. We do not warrant that:

  • Services will be error-free, secure, or uninterrupted
  • Results obtained from use of services will be accurate or reliable
  • Service quality will meet your expectations
  • Any errors in software will be corrected
  • We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the extent permitted by law, PrimeStack shall not be liable to you or any third party for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or other commercial losses
  • Even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from use of our services is limited to the amount you paid us in the 12 months prior to the event giving rise to liability, or RM100, whichever is higher.

11. Indemnification

You agree to defend, indemnify, and hold harmless PrimeStack, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your User Content or use of our services
  • Your violation of any third-party rights

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or related to these Terms or use of our services will be resolved through:

  • Negotiation: We encourage you to contact us at legal@primestack.my to resolve any disputes informally first.
  • Mediation: If negotiation fails, disputes will be referred to mediation under Malaysia's Mediation Act 2012.
  • Court Jurisdiction: If mediation fails, any legal action must be brought in the courts of Malaysia, and you agree to the exclusive jurisdiction of Malaysian courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a prominent notice on our website at least 30 days before changes take effect. Your continued use of our services after changes take effect indicates your acceptance of the updated Terms. If you do not agree with the new Terms, you must stop using our services and close your account.

14. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrimeStack regarding our services.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the other provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our written permission. We may assign our rights at any time without notice.
